Cancellation Policy

Payment herein covers 1 hour of Akiri’s time to review the request, conduct research, and draft comprehensive written guidance. In the event the service requires more than one hour of time, Akiri shall notify Client in advance, and - upon agreement by Client - payment for such time will be separately arranged between the parties. In such event, if Client does not wish to proceed with the service, payment shall be reimbursed, less a services charge of $10 to cover administrative fees. Client shall not be reimbursed for payment for any other reason aside from breach of this agreement by Akiri. Upon receipt of the request, if Akiri determines that no further information is required from the Client in order to provide guidance, Akiri will provide guidance within 2 business days of receipt of the request. In the event the Client has follow-up questions for Akiri after receiving guidance, and Akiri determines that additional time is required to address the follow-up questions, the Client and Akiri shall enter into a separate agreement for the provision of such services and associated payment. Client shall indemnify, defend and hold harmless Akiri from and against all loss, liability, damage and expense related to claims arising from: a. the acts or omissions of the Client, its employees, officers, directors, agents or its subcontractors; or b. injury or death to persons, including officers, directors, employees, agents and subcontractors of the Client, or loss of or damage to property, or fines and penalties which may result, in whole or in part, by reason of the buying, selling, distribution, or use of any of the goods or services purchased or provided under this contract except to the extent that such damage is due to the gross negligence or willful misconduct of Akiri. Akiri recommends advice and guidance. Akiri has neither the authority nor the responsibility to make final decisions regarding any Client budget, proposal, contract/subcontract, allowability determination, or any other business decisions. Client has the authority to revise recommendations, drafts, and other work products/services. Implementation of any recommendation is a direct result of decisions by the Client, and not initiated or controlled by Akiri. The Client is responsible for compliance with laws, regulations, contracts, and agreements related to the assignment.
